Create a corporate transaction.
Canonical — and only — corporate-transaction initiation endpoint. Opens a CorporateTransaction envelope for any supported kind. The body is kind- discriminated: kind=merger requires merger, kind=asset_sale requires asset_sale, etc. Mismatched fields return 422 invalid_kind_payload.
Stages. A CorporateTransaction advances through loi → due_diligence → definitive → regulatory_review → closing → closed, with terminal cancelled and terminated states. Use POST /corporate_transactions/{id}/advance to move forward; many advances require a stockholder resolution (DGCL §251(c) for merger, §271 for sale of substantially all assets) referenced by stockholder_resolution_id.
Cascades (introspectable via x-matter-cascade, surfaced on each advance as pending_filings[] / cascaded_documents[]): - LOI / Term Sheet (drafted on loi entry). - Definitive agreement docs (Plan of Merger, SPA, APA, Bill of Sale, Assignment & Assumption) generated on definitive entry from definitive_documents block. - Regulatory filings (HSR, CFIUS, foreign-investment) on regulatory_review. - Articles of Merger / Plan of Merger (state SOS) at closing for kind=merger. - §280G parachute analysis if any disqualified individuals identified. - Form 8-K (M&A) for SEC-reporting acquirers. - Option-treatment cascade per treatment.options (cancellation, cash-out, assumption, acceleration ledger entries). - SAFE/note conversion or termination per treatment.safes / treatment.notes. - Post-closing: optional seller dissolution per advance.post_closing_actions.seller_dissolution.
Authorization. Tier-3 + human signature required at every stage advance from definitive onward.
Returns 202 Accepted. On completion, emits one of: corporate_transaction.created, corporate_transaction.advanced, corporate_transaction.closed, corporate_transaction.terminated. Subscribe via `POST /v1/webhook_endpoints` to consume.
