Apply vesting overlay.

Grant-level companion to POST /entities/{id}/vesting_overlays. The underlying overlay primitive operates on a ShareLedgerEntry; this verb dereferences the Grant to find its source ledger entries and applies the overlay across all of them atomically.

The pattern. A founder issues their own restricted stock at formation with no vesting (the founder_restricted_stock Grant kind, fully outstanding on day 0). Later — typically when an investor makes vesting a precondition of a SAFE / priced round — the founder must retroactively impose a vesting schedule on the previously-issued shares. The 83(b) was filed on the original issuance, so the new overlay does NOT trigger a new 83(b); the tax_election_acknowledgement field documents this.

Cascade. Stockholder consent required (DGCL §242 charter amendment is NOT required since this is a contractual overlay, not a charter amendment) → Document.kind: vesting_overlay_agreement executed by the founder + the entity (counterparty: the company as represented by an officer slate distinct from the founder where possible) → ShareLedgerEntry.amendments[] entry recording the overlay → CapTable.holdings[].vested_shares / unvested_shares recomputation against the new schedule.

Idempotency-Key required. Calls within the 24h retention window with the same key resolve to the same overlay record.
