Create a vesting overlay.
Create a VestingOverlay over an existing ShareLedgerEntry (and its companion Grant) when an external condition imposes vesting on stock that was originally issued without it. Canonical case: a SAFE investor's term-sheet condition that founders subject their previously- unvested founder common to a 4-year vesting schedule.
Mutating the original ShareLedgerEntry is forbidden (it would corrupt the audit trail); mutating the original Grant.vesting_schedule would lose the FSPA's no-vesting-at-issuance provenance. The overlay layers the new schedule on top without rewriting history.
The overlay must reference an authorising Resolution (typically of kind amend_founder_grants). The recipient must counter-sign the amendment Document. The 83(b) decision (file new vs rely on original vs decline) is captured in tax_election_acknowledgement and shapes whether a new 83(b) Document is required within 30 days of effective_date.
Cap-table reads with ?expand[]=vesting_overlays return overlay-aware vested / unvested counts; without the expansion, the underlying Grant wins.
